Terms and Conditions of Service

1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the CloudBooster platform, including all related services, features, and applications (collectively, the "Service"), provided by CloudBooster s.r.o., a company registered in the Czech Republic under identification number 22242686, with its registered office at Oldřichova 187/55, Nusle (Praha 2), 128 00 Praha ("CloudBooster", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to that organization.

If you do not agree to these Terms, you may not access or use the Service.

2. Definitions

"Account" means the account you create to access and use the Service.

"BYOA" (Bring Your Own Account) means the model whereby CloudBooster operates within your existing cloud provider account (e.g., AWS, GCP, Azure). You retain full ownership and control of your cloud provider account and all resources within it.

"ChangeSet" means the atomic unit of infrastructure change managed by CloudBooster, encompassing the full lifecycle from proposal through execution, verification, and monitoring.

"Cloud Provider" means a third-party cloud infrastructure provider (such as Amazon Web Services, Google Cloud Platform, or Microsoft Azure) whose account you connect to the Service.

"Customer Data" means all data, content, and information that you submit, upload, or otherwise make available through the Service, including resource metadata, cost data, and ChangeSet records derived from your Cloud Provider account.

"Subscription" means the paid plan you select to access the Service, as described on our pricing page.

3. Description of the Service

3.1 What CloudBooster Does

CloudBooster is an autonomous cloud management platform that provides engineering teams with infrastructure lifecycle governance. The Service enables you to create, govern, and manage infrastructure changes within your own cloud provider accounts through the ChangeSet lifecycle, which includes planning, validation, approval, execution, monitoring, and remediation.

3.2 BYOA Model

CloudBooster operates under a Bring Your Own Account (BYOA) model. This means:

  • CloudBooster does not host or run your application code or data. CloudBooster manages infrastructure resources (such as compute instances, networking, storage, and monitoring) within your Cloud Provider account on your behalf.
  • All infrastructure resources are created and managed within your own Cloud Provider account.
  • You retain full ownership, access, and control of all resources and data in your Cloud Provider account at all times.
  • You are responsible for your relationship with your Cloud Provider, including all associated costs, agreements, and obligations.
  • You may revoke CloudBooster's access to your Cloud Provider account at any time.

3.3 Permissions and Access

To provide the Service, CloudBooster requires limited, least-privilege access to your Cloud Provider account. This access is used solely to:

  • Read resource metadata and configuration for planning and monitoring purposes.
  • Propose, validate, and execute infrastructure changes as part of the ChangeSet lifecycle.
  • Detect drift, misconfigurations, and cost anomalies.

CloudBooster requests only the minimum permissions necessary to operate. You are responsible for reviewing and approving the permissions you grant to CloudBooster.

4. Account Registration and Security

4.1 Account Creation

To use the Service, you must create an Account by providing accurate and complete information. You may register using an email address and password or through a supported third-party authentication provider (currently Google OAuth). You must be at least 18 years old to create an Account.

4.2 Account Security

You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to notify us immediately of any unauthorized use of your Account or any other breach of security.

4.3 Account Types

The Service is available to both organizations (business use) and individual developers (self-serve). If you are using the Service on behalf of an organization, the organization is the Account holder and is responsible for compliance with these Terms.

5. Subscription, Pricing, and Payment

5.1 Plans and Pricing

The Service is offered under various subscription plans, including a free tier with limited functionality. Current pricing and plan details are available on our website at cloudbooster.io. We reserve the right to modify pricing with 30 days' prior notice to active subscribers.

5.2 Payment Processing

Payments are processed through Stripe and/or AWS Marketplace. By subscribing to a paid plan, you agree to the payment terms of the applicable payment processor. All fees are stated in US dollars (USD) unless otherwise indicated.

5.3 Billing Cycle

Subscriptions are billed on a monthly or annual basis, depending on the plan you select. Annual subscriptions are billed upfront for the full year. Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your Account settings.

5.4 Refunds

Fees are non-refundable except as required by applicable law or at our sole discretion. If you cancel your subscription, you will retain access to paid features until the end of your current billing period.

5.5 Taxes

All fees are exclusive of applicable taxes. You are responsible for any taxes, duties, or other governmental levies associated with your use of the Service, except for taxes based on CloudBooster's income.

6. Data, Privacy, and Security

6.1 Customer Data Ownership

You retain all rights, title, and interest in your Customer Data. CloudBooster does not claim ownership of any data in your Cloud Provider accounts or any data you provide through the Service.

6.2 Data We Collect and Store

In the course of providing the Service, CloudBooster collects and stores the following data on its own infrastructure:

  • Account information: your name, email address, and authentication credentials.
  • Resource metadata: information about cloud resources in your connected accounts (such as resource types, names, configurations, and relationships).
  • Cost data: cloud spending information from your connected accounts used for cost analysis and optimization.
  • ChangeSet records: details of infrastructure changes proposed, approved, and executed through the Service, including audit trails.

6.3 Data We Do Not Intentionally Access

CloudBooster does not intentionally access, collect, or store personally identifiable information (PII) of your end users or application data processed by your workloads. While our platform may have technical access to such data through Cloud Provider permissions, our product is not designed to read, process, or store this information, and our employees are instructed not to access it.

6.4 Data Residency

CloudBooster's own platform infrastructure, including all stored Customer Data (resource metadata, cost data, ChangeSet records, and account information), is hosted within the European Union. Your workloads and cloud resources remain in whatever region you have configured in your Cloud Provider account.

6.5 Data Processing (GDPR)

CloudBooster s.r.o. is established in the European Union and processes data in accordance with the General Data Protection Regulation (GDPR). Where CloudBooster processes personal data on your behalf, we act as a data processor and you act as the data controller. We will process personal data only in accordance with your instructions and these Terms.

You have the right to request access to, correction of, or deletion of your personal data at any time by contacting us at [email protected].

6.6 Data Security

We implement appropriate technical and organizational measures to protect Customer Data against unauthorized access, alteration, disclosure, or destruction. These measures include encryption in transit and at rest, access controls, and regular security reviews.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to the Service, other users' accounts, or any systems or networks connected to the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to manage cloud infrastructure for illegal activities.
  • Share your Account credentials with unauthorized third parties.
  • Resell, sublicense, or redistribute the Service without our prior written consent.
  • Use the Service in a manner that exceeds reasonable usage patterns or constitutes abuse of the platform.

We reserve the right to suspend or terminate your Account if we reasonably believe you have violated these acceptable use terms.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including all software, algorithms, interfaces, documentation, and branding, is owned by CloudBooster s.r.o. and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

8.2 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your Subscription.

8.3 Feedback

If you provide suggestions, ideas, or other feedback regarding the Service ("Feedback"), you grant us a worldwide, royalty-free, irrevocable license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

9. Warranties and Disclaimers

9.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 SLA

CloudBooster does not guarantee any specific level of service availability, uptime, or performance. We will make reasonable efforts to maintain the availability of the Service but do not provide a Service Level Agreement (SLA) at this time.

9.3 Cloud Provider Disclaimer

CloudBooster is not responsible for the availability, performance, or actions of any Cloud Provider. Your use of Cloud Provider services is governed by your agreement with that Cloud Provider. Changes made by CloudBooster to your Cloud Provider account are executed based on your instructions and approvals through the ChangeSet lifecycle.

9.4 AI-Generated Content

The Service may use artificial intelligence to generate infrastructure plans, configurations, and recommendations. While we strive for accuracy, AI-generated output is provided for your review and approval. You are responsible for reviewing and approving all changes before they are applied to your infrastructure. CloudBooster is not liable for any issues arising from AI-generated content that you have approved for execution.

10. Limitation of Liability

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLOUDBOOSTER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

10.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLOUDBOOSTER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO CLOUDBOOSTER IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10.3 Infrastructure Responsibility

You acknowledge that CloudBooster operates within your Cloud Provider account and that changes to your infrastructure carry inherent risk. You are responsible for maintaining appropriate backups, disaster recovery procedures, and testing environments. CloudBooster recommends reviewing all proposed changes through the ChangeSet approval process before execution.

11. Termination and Account Closure

11.1 Termination by You

You may cancel your Subscription and close your Account at any time through your Account settings or by contacting us at [email protected]. Upon cancellation, you will retain access to paid features until the end of your current billing period.

11.2 Termination by Us

We may suspend or terminate your Account if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. We will provide reasonable notice where possible. In cases of material breach, termination may be immediate.

11.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease at the end of the current billing period (or immediately in cases of material breach).
  • CloudBooster's access to your Cloud Provider account will be revoked. You should also independently verify that permissions have been removed.
  • Infrastructure resources created by CloudBooster in your Cloud Provider account will remain in your account. CloudBooster does not delete resources in your Cloud Provider account upon termination.

11.4 Data Deletion

Upon termination, your Customer Data stored on CloudBooster's platform (resource metadata, cost data, ChangeSet records, and audit trails) will be retained for a period of 30 days, during which you may request an export. After 30 days, your data will be permanently deleted unless retention is required by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless CloudBooster, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Any infrastructure changes approved and executed through your Account.
  • Any dispute between you and your Cloud Provider.

13. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you may cancel your Subscription before the changes take effect.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to the competent courts of the Czech Republic. For customers located in the European Union, nothing in this section affects your rights under mandatory consumer protection laws of your country of residence.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and CloudBooster regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

The failure of CloudBooster to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. CloudBooster may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.

15.5 Force Majeure

CloudBooster shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, Cloud Provider outages, natural disasters, or governmental actions.
